Your company may have stopped trading. Your staff may have left, and your final accounts may be ready. But does that mean the business is legally closed? Not always. Company deregistration after liquidation in the UAE is about completing the final records with the right authorities, not simply turning off the lights.
The paperwork can feel like one long list. In practice, there are several separate files: the company licence, its legal registration, employee and immigration matters, and any VAT or Corporate Tax accounts. Closing one file does not automatically close the others.
Final company records should be kept together after the relevant authorities approve closure.
Liquidation, Licence Cancellation and Tax Deregistration Are Not One Task
| Task | What it deals with | Who handles it |
|---|---|---|
| Company liquidation | Winding up the business, including assets, liabilities and required reports | Company and relevant liquidator or authority |
| Trade licence cancellation | Ending a commercial licence and the licensing record | Mainland or Free Zone licensing authority |
| VAT deregistration | Ending VAT registration where the legal conditions are met | Federal Tax Authority |
| Corporate Tax deregistration | Ending Corporate Tax registration where applicable | Federal Tax Authority |
Each file has its own evidence and timing. Do not assume that a licence cancellation certificate automatically serves as a tax deregistration certificate.
Six Checks Before You Call Your Company Fully Closed
Confirm the Company’s Status
Ask the licensing authority whether your company needs formal liquidation, a shorter deregistration route, or other steps for its legal form.
Review Outstanding Obligations
Check unpaid suppliers, open customer balances, bank accounts, assets and contracts. Resolve claims under the correct legal process.
Complete Employee Matters
Review final pay, work permits, residence visas and establishment records. Read our employee visa cancellation guide for the related steps.
Submit Closure Documents
Provide relevant resolutions, reports, clearance evidence and forms to the licensing authority. Requirements differ between mainland and free zones.
Review VAT and Corporate Tax
Check whether each tax deregistration is required and complete outstanding returns, payments and supporting evidence.
Keep Closure Certificates
Save authority decisions, tax confirmations, bank letters and final accounts. They may be needed later if a question arises.
VAT Deregistration During Company Liquidation
VAT has its own rules. When mandatory deregistration conditions arise, the FTA says the application must be submitted within 20 business days of the relevant obligation starting. This deadline is about filing the application, not a promise that the company will be fully closed within 20 days.
The FTA’s VAT deregistration service lists evidence such as a cancelled trade licence, a liquidation letter or board resolution, and financial statements depending on the reason for deregistration. The final VAT return and any payable tax must also be dealt with according to the applicable rules.
Check the official FTA VAT deregistration service.
Corporate Tax Deregistration After Liquidation
A company registered for Corporate Tax must also review its own deregistration duties. For a juridical person, FTA Decision No. 6 of 2023 sets a three-month application deadline following the relevant cessation, dissolution or liquidation event. The correct starting date depends on the circumstances.
Before deregistration is approved, the business must address applicable Corporate Tax returns and outstanding obligations. Corporate Tax deregistration is not the same as cancelling a trade licence.
Mainland and Free Zone Deregistration: What Changes?
Mainland Company Closure
Depending on legal form, a mainland company may need resolutions, liquidator records, creditor procedures, final reports and licensing authority approval. The final cancellation is one part of that broader process.

Free Zone Company Closure
Each Free Zone can require its own portal application, clearance letters, employee steps and closure documents. A requirement used by one authority should not be copied automatically to another.

Which Records Should Be Kept After Deregistration?
Do not throw away your files as soon as the cancellation certificate arrives. Keep the documents required by applicable record-retention rules and any ongoing legal or tax obligations. A practical archive may include:
- Company resolutions, liquidation and cancellation decisions
- Final accounts, asset records and creditor settlement evidence
- Trade licence cancellation or company termination certificates
- VAT and Corporate Tax deregistration confirmations, where applicable
- Final returns, tax payment evidence and supporting schedules
- Employee settlements, immigration records and relevant clearances
- Bank closure letters and key contract termination documents
For a wider preparation list, use our Company Liquidation UAE Documents Checklist. The documents required in your particular case may be different.
Common Company Deregistration Mistakes
- Letting the licence expire: An expired licence does not prove that every legal and tax file is closed.
- Confusing the certificates: A licensing authority cancellation and an FTA deregistration are different records.
- Closing the bank too early: Review outstanding tax, employee and supplier payments first.
- Using one universal timeline: Rules vary by company structure, authority and current liabilities.
- Ignoring old tax registrations: Check both VAT and Corporate Tax where applicable.
- Discarding documents: Keep required evidence securely for the applicable retention period.

Frequently Asked Questions About Company Deregistration in UAE
Is trade licence cancellation the same as VAT deregistration?
No. Trade licence cancellation is handled by the relevant licensing authority. VAT deregistration is a separate Federal Tax Authority process for eligible VAT registrants.
Do I need to close my Corporate Tax registration after liquidation?
A person registered for Corporate Tax must review whether it is required to apply for deregistration. For a juridical person, the FTA states a three-month application timeline following the relevant cessation, dissolution or liquidation event.
Can I stop renewing the licence instead of formally closing my company?
Letting a licence expire does not, by itself, establish that all company, employee, banking and tax records are closed. Confirm the required route with your licensing authority.
Which certificate proves that a company was deregistered?
The licensing authority may issue an official cancellation, termination or deregistration document once its requirements are satisfied. Separately, the FTA can provide tax deregistration confirmation where applicable.
How long does final deregistration take in the UAE?
There is no single timeline for all UAE companies. The duration depends on the legal form, licensing authority, outstanding matters and any required reports or approvals.
Can the tax applications be started while closure work is ongoing?
Relevant preparations and applications may be coordinated with closure work, but application dates, eligibility, tax returns and supporting evidence must meet the FTA requirements for each tax registration.
