JAFZA FZE and FZCO Termination: Documents You Need Before Applying
Closing a JAFZA company is not just a request to cancel its trade licence. You also need to show how the company has handled its records, staff, premises and outstanding payments. Missing one clearance can delay an otherwise complete file.
This guide explains the JAFZA termination document checklist for a Free Zone Establishment (FZE), Free Zone Company (FZCO) and branch. It is a practical guide to the documents—not a replacement for the main Free Zone Company Liquidation service or our JAFZA liquidator guide.
Which JAFZA Entity Are You Closing?
Start with the legal form shown on the company licence. JAFZA’s published Company Termination service separates FZE and FZCO documents from the documents for a branch. An offshore company has its own termination service and should not use the same checklist without confirmation.
| Entity | What makes the document route different? |
|---|---|
| FZE | Company formation records, relevant share certificate, liquidator appointment resolution and liquidation report. |
| FZCO | Similar published core list, with resolutions and ownership records appropriate to the company. |
| Branch | Notarised and attested resolution from the parent company, plus applicable clearances. |
| JAFZA Offshore | Separate service and documents. Verify the offshore termination route before filing. |
Core Documents for FZE and FZCO Termination
JAFZA’s Company Termination guide, published on 8 July 2024, lists the following core items. The Registrar can request more papers based on the company’s actual circumstances.
The guide also lists a copy of the appointed liquidator’s Dubai trade licence. Do not assume a professional is automatically eligible simply because they are an auditor. Confirm the exact appointment requirement before filing. For broader appointment duties see our Company Liquidator Services page.
Which JAFZA Clearances Should Be Prepared?
The final application can require evidence from several departments. Not every clearance is called an NOC, and some only apply to certain premises or business activities.
| Area | Published JAFZA requirement | Practical preparation |
|---|---|---|
| Finance | Clear outstanding dues with JAFZA Finance. | Reconcile invoices and retain payment confirmations. |
| Property | Lease termination form and keys handover. | Agree premises handover and settle rent or related balances. |
| RTA | RTA clearance. | Review company-linked vehicle records or obligations. |
| Visas | Clear relevant visas with the administration department. | Review employee settlements and visa records. |
| DEWA | Final bill and payment evidence where applicable to warehouse or plot. | Obtain final meter and billing evidence. |
| Customs | Customs clearance. | Reconcile import/export entries and duties. |
| Telecom | Etisalat clearance. | Close relevant service contracts and retain confirmation. |
For a general UAE-wide explanation see the company closure NOC checklist. It should not replace this JAFZA-specific list.
How to Submit a Company Termination Request
Check whether the licence belongs to an FZE, FZCO, branch or offshore company.
Prepare bank statements, payables, asset records and closing financial information so the appointed professional can identify gaps.
Confirm the correct signatories, original certificates, appointment evidence and liquidation report.
Track finance, lease, visas, Customs, utilities and other applicable obligations. Record the date and proof of each clearance.

Published JAFZA Termination Fees and Processing Estimate
These figures appear in JAFZA’s 8 July 2024 service guide. They are not a current individual quotation and do not include professional fees, unpaid charges, settlement costs or other case-specific expenses. Fees and procedures should be rechecked before submission.
The old MAK page claimed a fixed 15-day newspaper period. That figure should not be reused as a current universal JAFZA requirement without specific authority confirmation. The advertisement service charge is not proof of the entire notice period.
Common Document Problems Before Termination
- Using an FZE or FZCO checklist for a branch without checking parent-company requirements.
- Submitting an appointment resolution with incomplete signatory details.
- Leaving a lease, vehicle, Customs or telecom balance unresolved.
- Confusing the company’s liquidation report with routine annual accounts.
- Assuming that all VAT and Corporate Tax work closes when JAFZA cancels the licence.
- Using an old fee sheet without obtaining current confirmation.
Tax deregistration is a separate process when the company meets the applicable Federal Tax Authority conditions. For general documents, consult our company liquidation documents checklist.

Organise the File Before Submitting
JAFZA termination runs more smoothly when the company first confirms its entity type, collects the correct originals, settles clearances and reviews the final accounts. Keep every clearance and follow the current authority checklist. A little preparation helps keep the paperwork from becoming a stumbling block.
